This End User Licence Agreement ("EULA" or "Agreement") constitutes an electronic agreement between you ("User" or "you") and TASTEIUM FOODS PRIVATE LIMITED ("Company", "we", "us" or "our") governing your access to and use of _________ (the "Platform").
By clicking "I Agree", accepting this Agreement through an electronic mechanism provided on the Platform, registering for an account where acceptance of this Agreement is expressly required, or otherwise using the Platform after being provided reasonable notice of this Agreement, you agree to be bound by its terms.
If you do not agree to this Agreement, you must not use the Platform.
You must be at least 18 years of age and legally competent to enter into a binding agreement under Applicable Law. If you are accessing or using the Platform on behalf of an entity, you represent that you are authorised to accept this Agreement on its behalf.
Subject to your compliance with this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform during the applicable subscription or licence period for your personal or internal business purposes, as permitted under the applicable plan or service terms.
This licence grants a right to access and use the Platform and does not constitute a sale or transfer of ownership of the software or underlying intellectual property.
You agree not to:
The Platform, including its software, architecture, design, text, graphics, interfaces, trademarks and other content provided by or on behalf of the Company, is owned by the Company or its licensors and is protected under Applicable Law.
You retain ownership of the User Content that you lawfully upload or submit to the Platform. You grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display and otherwise use such User Content solely to the extent reasonably necessary to provide, maintain, secure, improve or support the Platform and related services, or as otherwise permitted by Applicable Law.
You are responsible for providing accurate and complete information during registration and for taking reasonable steps to maintain the confidentiality and security of your account credentials.
You should not share your credentials with unauthorised persons and must promptly notify the Company if you become aware of any suspected unauthorised access to or use of your account.
Access to premium features or paid services may be subject to applicable fees, taxes and other charges disclosed at the time of purchase or subscription. Unless otherwise stated, applicable taxes, including GST, may be charged in addition to the stated fees.
Where recurring or subscription-based billing is applicable, you authorise the Company or its authorised payment service provider to process recurring payments in accordance with the applicable payment terms and Applicable Law.
Refunds and cancellations shall be governed by the Company's Refund and Cancellation Policy.

Privacy Notice: The Company's collection and processing of Personal Data is described in its Privacy Notice, as updated from time to time. The Privacy Notice shall be read together with this EULA and shall apply to the processing of Personal Data in accordance with Applicable Law.
The Company may suspend or terminate your access to the Platform, in whole or in part, where reasonably necessary due to a material breach of this EULA or the AUP, non-payment of applicable fees, fraudulent or unlawful activity, misuse of the Platform, or conduct that may adversely affect the security, integrity or operation of the Platform.
Where reasonably practicable, the Company may provide notice and an opportunity to remedy the breach before termination.
Immediate suspension or termination may be undertaken where reasonably necessary to protect the Platform, the Company, other users or third parties, or where required by Applicable Law.
To the extent permitted by Applicable Law, you agree to indemnify and hold harmless the Company, its directors, officers, employees and agents from third-party claims, damages, liabilities, costs and reasonable legal expenses arising out of or resulting from:
The Company may update or modify this EULA from time to time to reflect changes in the Platform, services, Applicable Law or business practices. The Company shall provide reasonable notice of material changes through the Platform, email or other appropriate means where required.
Unless otherwise stated, the revised EULA shall become effective from the date specified in the updated version.
Your continued use of the Platform after the effective date of the revised EULA shall constitute acceptance of the revised terms, to the extent permitted by Applicable Law.
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Subject to the Arbitration clause below, the courts located at ________ shall have exclusive jurisdiction over any disputes.
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The arbitral tribunal shall consist of a sole arbitrator mutually appointed by both parties. If the parties cannot agree on an arbitrator within 30 days, the appointment shall be made in accordance with the Act.
The seat and venue of the arbitration shall be _______. The language of the proceedings shall be English.
You agree that the Company may communicate with you electronically, including through email, in-app notifications, notices displayed on the Platform or other electronic means, in relation to your account, transactions, services, security matters, amendments to this EULA and other matters relating to the Platform.
Such electronic communications shall satisfy any legal requirement for written communication to the extent permitted by Applicable Law.
If any provision of this EULA is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
The failure of the Company to enforce any right or provision shall not constitute a waiver of such right or provision.
